COMMON SCHOLARSHIP APPLICATION (CSA)
Student & Scholarship Provider Licensing and Participation Agreement
Effective Date: 9/1/2025
1. Parties
This Licensing and Participation Agreement (“Agreement”) is entered into by and between:
- EDU, Inc., operator of the Common Scholarship Application platform (“CSA,” “we,” “us”)
- Student User (“Student” or “You”)
- Scholarship Provider (any organization, business, nonprofit, or entity offering scholarships through CSA) (“Provider”)
Each party agrees to the terms set forth herein.
2. Purpose of the Platform
CSA is a technology platform that:
- Connects Students with scholarship opportunities
- Enables Students to submit applications
- Allows Providers to review applicants
CSA does NOT:
- Award scholarships
- Guarantee outcomes
- Control Provider decisions
3. License Grant
3.1 To Students
CSA grants Students a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the platform
- Submit scholarship applications
- Upload required materials
3.2 To Scholarship Providers
CSA grants Providers a limited, non-exclusive, non-transferable, revocable license to:
- Access applicant data submitted through CSA
- Review and evaluate applications
- Select scholarship recipients
3.3 Restrictions
Neither Students nor Providers may:
- Copy, resell, or exploit CSA systems
- Reverse engineer or replicate CSA
- Use CSA data outside permitted purposes
4. Student Responsibilities
Students agree to:
- Provide accurate and truthful information
- Submit original work (no plagiarism or fraud)
- Apply only for legitimate scholarship purposes
CSA reserves the right to:
- Disqualify applications
- Suspend or terminate accounts
5. Scholarship Provider Responsibilities (CRITICAL)
Providers agree that:
5.1 Legitimate Scholarships
- All scholarships offered must be real, lawful, and fully funded
5.2 Award Commitment
- Providers are legally responsible for awarding funds as described
- Funds must be distributed within the stated timeframe
5.3 No Misrepresentation
Providers may NOT:
- Mislead applicants
- Change terms after applications are submitted
- Use scholarships solely for marketing or lead generation
5.4 Compliance
Providers must comply with all applicable laws, including:
- Consumer protection laws
- Anti-discrimination laws
5.5 Communication Responsibility
Providers are responsible for:
- Communicating with applicants
- Notifying winners
- Handling disputes
6. Data Use & Privacy
6.1 Student Data Access
Student data is shared with Providers only when a Student applies.
6.2 Provider Restrictions
Providers may NOT:
- Sell or transfer student data
- Use data for unrelated marketing without consent
- Share data with unauthorized third parties
6.3 Platform Role
CSA acts solely as a data facilitator and is not responsible for:
- Provider data handling practices
- Provider communications
7. Fees & Payments
7.1 Student Fees
- Students may be required to pay application or platform fees
- Fees are non-refundable unless explicitly stated
7.2 Provider Fees (if applicable)
- Providers may pay fees to list or promote scholarships
- Fees do NOT guarantee applicant volume or outcomes
8. Disclaimer of Warranties
CSA provides the platform “AS IS.”
CSA makes no guarantees regarding:
- Scholarship availability
- Selection outcomes
- Platform performance
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
CSA is NOT liable for:
- Provider failure to award funds
- Student eligibility or selection outcomes
- Disputes between Students and Providers
Maximum liability is limited to:
amounts paid to CSA (if any)
10. Indemnification
10.1 By Students
Students agree to indemnify CSA against claims arising from:
- False information
- Fraudulent applications
10.2 By Providers (VERY IMPORTANT)
Providers agree to indemnify CSA against claims arising from:
- Failure to award scholarships
- Misrepresentation of opportunities
- Misuse of student data
- Violations of law
11. Dispute Responsibility
All disputes:
- Between Students and Providers are solely their responsibility
- CSA is not obligated to mediate or resolve disputes
12. Termination
CSA may suspend or terminate access:
- For violations of this Agreement
- For legal or security concerns
Providers may be removed for:
- Failure to fulfill scholarship obligations
- Misconduct or reputational risk
13. Intellectual Property
CSA retains all rights to:
- Platform
- Technology
- Branding
No rights are granted beyond this Agreement.
14. Arbitration & Dispute Resolution
All disputes involving CSA shall be resolved through:
- Binding arbitration
- No class action lawsuits

15. Governing Law
This Agreement is governed by the laws of the State of Georgia.
16. Entire Agreement
This Agreement represents the full agreement between:
- CSA
- Students
- Providers
and supersedes all prior understandings.
